1. Agreement of Service

By submitting request specifications, using our procurement services, or executing trade contracts with SouqBridge ("SouqBridge"), you agree to these General Terms and Conditions. These terms govern our operations as a sourcing agency, chemical distributor, and supply chain coordinator.

2. Quotations and Sourcing Estimates

All quotations issued via our portal or direct sales channels are based on current spot pricing of raw materials, currency conversion parameters, ocean freight indices, and customs tariffs. Quotations are only valid for the specific period marked on the quote sheet (typically 5 to 14 business days for chemicals and commodities).

3. Payment and Credit Terms

Standard transactions require a Letter of Credit (L/C at sight) or Telegraphic Transfer (T/T with 30% deposit and 70% against Bill of Lading). Credit terms (Net 30/60) are subject to credit checks by our financial committee, requiring business references and audits.

4. Quality and Inspections

Unless explicitly agreed otherwise, all orders undergo pre-shipment inspection following standard ANSI/ASQ Z1.4 (AQL 2.5) guidelines. Independent laboratory testing (SGS, Intertek) is conducted upon buyer request. Any quality claims must be submitted in writing within 15 days of container discharge at the destination port, accompanied by laboratory reports.

5. Shipping and Force Majeure

We arrange shipping under international trade rules (Incoterms 2020), typically FOB, CIF, or DDP as specified in individual purchase orders. We are not liable for transit delays caused by customs hold-ups, port congestion, shipping lane blockades, weather anomalies, or other events beyond our control (Force Majeure).

6. Governing Law

These terms and all underlying purchase agreements are governed by the laws of the State of Illinois, USA, without regard to conflicts of law. Any disputes shall be submitted to the exclusive jurisdiction of the state or federal courts in Chicago, Illinois.
